Tanner C. Dowdy

Biography

Tanner’s practice focuses on a range of corporate, securities, and regulatory matters for a variety of different clients. In the mergers and acquisitions context, he has experience assisting deal teams in the diligence process, drafting ancillary documents, and preparing closing materials. He has also worked with clients to assess regulatory obligations that often arise early in a deal, including those related to key federal securities and antitrust filings. In addition to his mergers and acquisitions experience, Tanner has experience assisting an array of clients in the investment management industry. This includes assisting fund managers during the fund formation process, counseling on investment company and investment adviser regulation, and ensuring that those raising capital can meet the various exemptions from registration afforded by private placement safe harbors. Tanner is also called upon to help state and nationally chartered banks and bank holding companies understand the maze of regulations they face – in both the corporate and consumer context.
